1. PARTIES TO AND ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS OF SALE
These General Terms and Conditions of Sale (hereinafter, the ‘GTCS’) govern the contractual relationship between:
-Supplier: IPD Dental Groupe France, a company registered with the Registre du Commerce et des Sociétés de Paris, under the number VAT FR 86948450440, whose registered office is located at 88, avenue des Termes 75017, Paris.
- Professional Customer: Any legal entity or individual acting in the context of their professional, commercial, craft or liberal activity and wishing to purchase the products offered by the Supplier via the https://ipd2004.com/fr website.
By placing an order, the Professional Customer unreservedly accepts these GCS. No special conditions or conditions to the contrary may prevail over the GTC without the Supplier's express written agreement.
2. SUBJECT
The purpose of these GCS is to define the terms and conditions of the sale of products offered by the Supplier to Professional Customers, in particular original, precise and high-quality prosthetic solutions.
3. ORDERS
3.1. Ordering process:
Professional Customers place their orders exclusively via the https://ipd2004.com/fr website, by following the steps below:
- Create a user account or log in to an existing account.
- Selection of products and addition to the basket.
- Validation of the contents of the basket.
- Confirmation of the order and secure payment by credit card.
3.2. Order confirmation:
All orders are deemed to have been accepted once they have been confirmed by the Supplier by e-mail or any other written means.
3.3 Order cancellation:
In the event of cancellation of payment by the payment platform or the Customer's bank, the Supplier reserves the right to cancel the order without prior notice.
3.4 Modification or cancellation by the Customer:
Any modification or cancellation of an order by the Customer must be notified in writing and is subject to the Supplier's prior approval.
4. PRICES AND TERMS OF PAYMENT
4.1 Prices:
Product prices are quoted in euros, exclusive of VAT and delivery charges. Applicable taxes will be added in accordance with the legislation in force at the time of invoicing.
4.2 Payment:
Payment is made by credit card via a secure payment platform when the order is validated.
4.3 Late or non-payment:
In the event of late or non-payment, the Supplier reserves the right to suspend or cancel any delivery and/or order in progress, without prejudice to any other action it may take.
5. DELIVERY
5.1 Delivery times:
Delivery times are given for information only. The Supplier endeavours to meet the agreed delivery times, but cannot be held responsible for delays caused by circumstances beyond its control.
5.2 Transfer of risk:
The risks are transferred to the Professional Customer when the products are handed over to the carrier.
5.3 Claims:
Any complaint regarding delivery must be made in writing within 14 days of receipt of the products.
6. RECEPTION AND COMPLIANCE
6.1 Obligation to verify:
The Customer must check the products on receipt and report any apparent defect or non-conformity within 14 days.
6.2 Product returns:
No returns will be accepted without the Supplier's prior written agreement.
7. GUARANTEE
The Supplier guarantees that the products comply with the agreed specifications. In the event of a manufacturing defect, the Supplier undertakes to replace or repair the defective products. The warranty excludes any other form of compensation.
8. RESPONSIBILITY
The Supplier's liability is strictly limited to direct and foreseeable damage resulting from a proven fault. The Supplier may not be held liable for indirect damage, such as loss of profit or business interruption.
9. RESERVATION OF OWNERSHIP
In accordance with Articles 2367 et seq. of the French Civil Code, the Supplier retains ownership of the products until full payment has been received from the Customer.
10. CONFIDENTIALITY
The parties undertake to respect the confidentiality of information exchanged in the context of the performance of these GTC. This information may not be disclosed without prior authorisation, unless required by law.
11. ELECTRONIC CONTRACT
11.1 Online ordering process:
Online ordering, as indicated in article 3.
11.2 Archiving and proof:
The data recorded by the Supplier constitutes proof of the transactions.
12. APPLICABLE LAW AND JURISDICTION
These GCS are governed by French law. Any dispute relating to their interpretation or performance will be subject to the exclusive jurisdiction of the courts of Paris.
